GOVERNING LAWS AND REGULATIONS
You agree that by accessing the Site, you have agreed that the laws of the State of California, U.S.A., without regard to principles of conflict of laws, shall govern this agreement and any dispute of any kind that might arise between you and NVS and/or its affiliates.

DISPUTES
You agree that any dispute relating in any manner to your use of, or visit to, NVS, the Site, or to services or products you purchase through NVS or the Site shall be submitted to arbitration in Santa Barbara, California, except that, to the extent that you have in any manner violated or threatened to violate NVS's intellectual property rights, NVS may seek injunctive or other appropriate relief in any state or federal court in the State of California, and you consent to such exclusive jurisdiction and venue in such courts.Arbitration under this agreement shall be conducted under the rules then prevailing of the American Arbitration Association. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under this agreement shall be joined to an arbitration involving any other party subject to this agreement, whether through class action arbitration proceedings or otherwise. Any claim or cause of action you may have with respect to your use of the Site, or with NVS, must be commenced within one (1) year after the claim or cause of action arises. If for any reason a court of competent jurisdiction finds any provision of this agreement, or portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to effect the intent of this agreement, and the remainder of this agreement shall continue in full force and effect.

INDEMNFICIATION
You agree to indemnify, defend and hold NVS, and all its officers, directors, owners, agents, employees, Content suppliers, affiliates, licensors and licensees (collectively, the "Indemnified Parties") harmless from and against any and all liability and costs incurred by the Indemnified Parties in connection with any claim arising out of any breach by you of this agreement, including, without limitation, attorneys fees and costs. You agree to cooperate as fully as reasonably required in the defense of any claim. NVS reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you and you shall not in any event settle any matter without the written consent of NVS.

COPYRIGHT/TRADEMARKS
The trademarks, logos and service marks ("IP Marks") and trade dress displayed on the Site are the property of NVS and, in certain cases, other companies. All Users are prohibited from using any IP Marks or any trade dress for any purpose whatsoever, including, but not limited to, metatags, graphics, page headers, button icons, scripts, and scripts, without the written permission of NVS or such third party which may own the IP Marks or trade dress. All information, trade dress, and content available on or through the Site, including, but not limited to, logos, graphics, button icons, images, digital downloads, audio clips, text, software, and data compilations ("Content") is protected by international and United States copyright laws and is the property of NVS, its affiliates, and its content suppliers. The compilation of all Content on the Site is the exclusive property of NVS and is protected by international and United States copyright laws. Subject to the provisions of Section 2 [Disputes] of this agreement, NVS reserves the right to seek all remedies available at law and in equity for violations of this agreement, including the right to block access from a particular Internet address to the Site.

ACCESS TO PASSWORD PROTECTED/SECURE AREAS
Access to and use of password protected and/or secure areas of the Site is restricted to authorized users only. Unauthorized individuals attempting to access these areas of the Site may be subject to prosecution.

NVS VISAQUIK™ USERS - USE OF "COOKIE" FILE FEATURES
For VisaQuik™ Users only - NVS reserves the right to store its VisaQuik User's information in the form of a "cookie" or similar file so that these Users do not have to retype their information again if they sign up for NVS Legal Services on NVS's Retainer Agreement.

NOTIFICATION TO NVS REGARDING ALLEGED COPYRIGHT INFRINGEMENT
